Encode Nonprofit Challenges OpenAI's For-Profit Transition

The nonprofit organization Encode has recently sought court support to block OpenAI's plans to transition into a for-profit enterprise. As a co-sponsor of California's Artificial Intelligence Safety Act, Encode argues that this change would undermine OpenAI's original mission to develop and deploy artificial intelligence technology safely and beneficially for the public.

Sneha Revanur, the founder and president of Encode, criticized OpenAI, stating that it is "internalizing the profits of artificial intelligence while externalizing the consequences to all of humanity." She emphasized the need for judicial intervention to ensure that AI development aligns with public interest. Encode's legal brief has received backing from prominent figures in the AI community, including Geoffrey Hinton, a pioneer in artificial intelligence, and Stuart Russell, a professor at the University of California, Berkeley.

OpenAI has announced plans to convert its for-profit segment into a Public Benefit Corporation (PBC) in Delaware, with a mission aimed at public benefit. However, Encode's lawyers contend that this restructuring would lead to the loss of OpenAI's original mission and would shift control to the PBC, transforming the organization from one bound to ensure the safety of advanced AI into one that must balance public interest with the economic interests of shareholders.

The legal brief also highlighted a significant point: once the reorganization is complete, the board of the nonprofit OpenAI will no longer have the authority to cancel investor equity for safety reasons. OpenAI has previously committed to refraining from competing with any "value-aligned, safety-conscious projects" that are close to achieving Artificial General Intelligence (AGI) before it. However, as a profit-driven entity, OpenAI may have diminished motivation to adhere to such commitments.

Encode's legal representatives assert that the fiduciary duty to humanity, which OpenAI claims to uphold, will effectively be nullified. Under Delaware law, PBC directors are not required to prioritize public interests. Consequently, Encode is urging the court to support its efforts in preventing OpenAI from becoming a for-profit entity, thereby safeguarding AI safety and maintaining the public interest.
